These Terms and Conditions (“Terms”) govern the access to and use of the ERP Institute website, online training programs, digital products, SAP system access, and all related services (“Services”).
By using our Services, you (“User”, “you”) agree to be bound by these Terms.

If you do not agree, you must discontinue use immediately.

1. Scope of Services

ERP Institute provides educational materials, online courses, digital downloads, SAP training system access (through third-party providers), coaching sessions, and related resources.

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice.

2. Eligibility

Use of the Services is permitted only for Users who:

• are at least 18 years old,

• have the legal capacity to enter contracts,

• and comply with these Terms.

Use in jurisdictions where it is illegal is strictly prohibited.

3. Account Creation & Security

Certain Services require registration.
You agree to:

• provide truthful and accurate information,

• maintain strict confidentiality of login data,

• notify us immediately of unauthorized access.

We may suspend or terminate accounts that violate these Terms.

4. Payments, Pricing & Refund Policy

4.1 Payments

Purchases must be paid in full at the time of transaction. Payments are processed through trusted third-party payment processors.

4.2 Pricing

We may update pricing at any time. Price changes do not affect completed purchases.

4.3 Refunds

Because our products are digital and accessible immediately after purchase, all sales are final.
Refunds are only provided where required by applicable consumer law or at our sole discretion.

5. License & Use of Digital Content

Upon purchase, you receive a personal, non-exclusive, non-transferable, revocable license to access the content.

You may NOT:

• resell, publish, distribute, or share course materials,

• publicly post internal content or downloads,

• give your login to another person,

• copy or replicate system configurations or exercises.

Violations may result in legal action and permanent account termination.

6. SAP System Access Disclaimer

Some courses include temporary access to an SAP training system supplied by external partners.

You acknowledge and agree that:

• SAP system access is provided as available,

• the Company does not control SAP system uptime, data availability, performance, or compatibility,

• the Company is not liable for maintenance, downtime, outages, or third-party technical issues.

You must NOT input real customer, financial, or company data.

7. Educational Purpose Only

All training content is provided strictly for educational purposes.
We do not provide:

• SAP SE certification,

• professional licensing,

• guaranteed employment,

• guaranteed interview outcomes or job placement.

8. Intellectual Property Rights

All content — including text, video, system exercises, images, branding, and downloadable materials — is protected by copyright and owned exclusively by BRIAN ANKAMAH ANNAN LTD or its licensors.

Unauthorized use is prohibited and may result in legal action.

9. Prohibited Conduct

You agree NOT to:

• use the Services for illegal activities,

• share login access,

• copy course materials,

• bypass or disable security features,

• attempt to reverse-engineer or replicate product content,

• misuse SAP system access.

We may suspend or terminate access immediately for violations.

10. Disclaimer of Warranties

To the fullest extent permitted by law, the Services are provided “as is” and “as available.”

We make no warranties, express or implied, including but not limited to:

• fitness for a particular purpose,

• accuracy or completeness of materials,

• uninterrupted or error-free access,

• guaranteed outcomes or results.

11. Limitation of Liability (Maximum Legal Protection)

To the fullest extent permitted by applicable law:

• The Company is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages.

• This includes — without limitation — loss of business, revenue, profits, data, goodwill, or system downtime.

• Total liability for any claim shall not exceed the amount paid by the User for the specific Service giving rise to the claim.

This clause is intended to be enforced to the maximum legal extent.

12. Limitation of Claims Period (Enforceable 12-Month Window)

Any claim, action, or proceeding relating to the use of our Services must be initiated within 12 months after the event giving rise to the claim occurred.
After this period, the User waives the right to bring such claim.

13. Mandatory Notice & Dispute Resolution

Before initiating any legal action, the User must:

1. Provide written notice to the Company describing the issue in detail.

2. Engage in good-faith mediation if requested.

3. Only if unresolved, the claim may proceed to court in accordance with Section 14.

Failure to follow this process will void any legal claim.

14. Governing Law & Jurisdiction

These Terms are governed exclusively by the laws of the Republic of Cyprus.
All disputes shall be resolved exclusively in the competent courts of Larnaca, Cyprus.

No other jurisdiction shall apply.

15. Termination

We reserve the right to suspend or terminate your access to the Services if you:

• violate these Terms,

• misuse content or SAP system access,

• engage in fraud, cheating, or unauthorized distribution.

Upon termination, all rights granted to you cease immediately.

16. Personal Data & Privacy

We process personal data in accordance with:

• EU GDPR

• Cyprus Data Protection Law

• Our Privacy Policy (available separately)

17. Changes to Terms

We may update these Terms at any time. Updates take effect immediately upon posting. Continuing to use the Services constitutes acceptance of the revised Terms.
